By TOM KRISHER, Associated Press DETROIT (AP) — For a second time, a Delaware judge has nullified a pay package that Tesla had awarded its CEO, Elon Musk, that once was valued at $56 billion. On Monday, Chancellor Kathaleen St. Jude McCormick turned aside a request from Musk’s lawyers to reverse a ruling she announced in January that had thrown out the compensation plan. The judge ruled then that Musk effectively controlled Tesla’s board and had engineered the outsize pay package during sham negotiations . Lawyers for a Tesla shareholder who sued to block the pay package contended that shareholders who had voted for the 10-year plan in 2018 had been given misleading and incomplete information. In their defense, Tesla’s board members asserted that the shareholders who ratified the pay plan a second time in June had done so after receiving full disclosures, thereby curing all the problems the judge had cited in her January ruling. As a result, they argued, Musk deserved the pay package for having raised Tesla’s market value by billions of dollars. McCormick rejected that argument. In her 103-page opinion, she ruled that under Delaware law, Tesla’s lawyers had no grounds to reverse her January ruling “based on evidence they created after trial.” On Monday night, Tesla posted on X, the social media platform owned by Musk, that the company will appeal. The appeal would be filed with the Delaware Supreme Court, the only state appellate court Tesla can pursue. Experts say a ruling would likely come in less than a year. “The ruling, if not overturned, means that judges and plaintiffs’ lawyers run Delaware companies rather than their rightful owners — the shareholders,” Tesla argued. Thousands of locals took to the streets in recent days to protest attacks on a shrine in Syria's second-largest city, Aleppo. The shrine is important to the Alawite religious minority, a group to which Syria's ousted dictator Bashar Assad also belongs. The protests began after a video showing an attack on the Alawite shrine was circulated online. The video has been disputed — apparently it is not current — but protesters said those who had damaged the shrine must be held to account. Others demanded that Syria's newly appointed authorities act in a non-sectarian way, without prejudice against the country's Alawites. "No to burning holy places and religious discrimination. No to sectarianism. Yes, to a free Syria ," Doha-based media outlet Al Jazeera reported signs at the protests saying. The conflagration is another aspect of the difficult path ahead for the evolving Syrian transition. Members of Syria's Alawite minority fear they will be punished or persecuted because of their community's long-standing connections to the Assad family, who ruled Syria brutally for 54 years. The Alawite minority is often described as having benefited from the Assad family's rule. But they have also paid dearly for that connection. Who are Syria's Alawites? Estimates suggest that, before the civil war started in 2011, Alawites made up somewhere between 10% and 13% of Syria's total population. As a religious sect, the Alawites are often referred to as an offshoot of Shia Islam. But their background is more complex than that. Alawi Islam emerged in the ninth century in northeastern Syria, a rich mixture of belief systems at the time, according to religious experts. The sect is notoriously secretive, but those who have been able to study it say Alawites have a differing interpretation of several pillars of Islam , which are considered foundational by orthodox Muslims. That includes the regular call to public prayer and the physical pilgrimage to Mecca. Alawites prefer to worship in private, at home or outdoors, believe the pilgrimage could be symbolic, don't think females needed to wear headscarves, use wine in their rituals and incorporate more nature worship, including the sun, moon and stars, into their belief system. The Alawites do also have commonalities with Shiite Muslims. For example, they believe in the divinity of Ali ibn Abu Talib, cousin and son-in-law of the Prophet Muhammad, a caliph in the seventh century and considered the first leader of Shia Islam. Still, as a result of the mixture of beliefs, they were regularly accused of heresy and discriminated against by everyone from the Christian Crusaders to the Ottomans from Turkey. As part of their "divide and conquer" policy, the French split local Alawite and Druze minorities from the Muslim majority and, in 1922, established a legally autonomous state for Alawites. By 1946, after France pulled out and Syria became an independent nation, "the Alawites had gained a political presence," researchers at US think tank, the Foreign Policy Research Institute , wrote. "By 1955, about 65% of the non-commissioned officers were Alawites." After Syrian independence, Alawites continued to climb the military's ranks and, in 1963, when five officers launched a coup — one of several during Syria's tumultuous postcolonial period — three of them were Alawites. And one of those was Hafez Assad, who would go on to take power for himself in 1971. "Hafez would emerge as his sect's sole representative and champion of a new Alawite identity," Alawite author Adnan Younes wrote in a 2021 text for New Lines Magazine . "This contrasted dramatically with the previous Alawite identity: opaque and recalcitrant, which has always been misunderstood," Younes explained. "Alawites now had to [...] support the 'founder of modern Syria' [...] and be worthy of his trust." Hafez Assad surrounded himself with loyal Alawites for his own protection. Members of the minority who were not loyal, such as communists, were imprisoned. Assad also tried to downplay the differences between the Alawite minority and the Muslim majority. "He built mosques in Alawite towns, prayed publicly and fasted, and encouraged his people to do the same," Joshua Landis, a non-resident fellow at the Quincy Institute for Responsible Statecraft, who married into a Syrian Alawite family, has previously pointed out . Assad also tried to stop Alawites from celebrating holidays they previously had, like the Persian new year, Nowruz, and the Christian holiday, Christmas. Dominating military and politics Now when the Alawite minority was attacked, the state retaliated. Hundreds of Alawi soldiers and other members of the community were deliberately targeted for sectarian reasons between 1979 and 1981 by members of the Muslim Brotherhood, a Sunni Muslim group with an Islamist ideology, during uprisings against the Assad regime. After killing around 2,000 members of the Muslim Brotherhood, the Assad government laid siege to the city of Hama in February 1982. An estimated 10,000 to 25,000 civilians were killed as a result. The Alawites saw the Islamists as a threat and generally preferred a secular government in Syria. Over ensuing decades, Assad and his son used that fear to manipulate the community, saying they were the only ones who would protect them. The community's concerns persist to this day. Disillusionment with Assad During the 13-year-long civil war, the Alawite community in Syria has been heavily affected by its military involvement. According to the EU's Agency for Asylum , in some Alawite-majority towns and villages between 60% and 70% of young men were either killed or wounded during the war. Many young Alawi males have also hidden or fled from conscription. Recent surveys show how, over the past few years, many Alawis had become increasingly disillusioned with the Assad regime, researchers at the Konrad Adenauer Foundation wrote, after conducting surveys of the Alawite community in Syria in early 2024. Unless they were members of a small Syrian elite, Alawites dealt with the same economic hardships as other Syrians. However, given the authoritarian nature of the Assad regime, many did not feel they could speak out either, the researchers said. That is why a binary portrayal of the Alawites as either pro- or anti-Assad "fails to capture the nuanced spectrum of views within the Alawite population, ranging from staunch regime loyalists to discreet dissenters," the researchers concluded. "Nor does it adequately account for the socioeconomic hardships that have affected them similarly to other Syrian communities," or the "disproportionate losses" the community has suffered, they noted. Prince of Persia: The Lost Crown PC, PS5, Switch, Xbox Side-scrolling platform adventure games are ubiquitous and there were heaps of good ones this year, but the best was also a return to relevance for a beloved franchise. The fictional Mount Qaf is a wonderful setting that blends Iranian history and Arabian mythology with the series’ penchant for vicious traps and time distortion, while new protagonist Sargon brings a fresh and edgy vibe that marries the acrobatic focus of the Sands of Time trilogy with the methodical platforming of older Prince adventures. By invoking familiar poker hands, Balatro brings the satisfying hook of a rougelite game to a wider pool of players who have no idea what that is. Balatro Android, Apple Arcade, iOS, PC, PS5, Switch Xbox In an industry plagued by gambling disguised as play, it’s gratifying that one of this year’s most successful games employs the aesthetic of cards and casinos with no gambling to be found. But the icing on the cake is the ability to enforce “pro mode” to make the winner less chance-based, opening up the possibility of truly competitive play, and it’s so much fun. It may take its broad structure from one third of a decades-old game, but Rebirth has plenty original to say. Final Fantasy VII: Rebirth PS5 I was expecting a middle chapter for Square’s epic three-part remake of a 1997 classic, but this turned out to be so much more. From the layered character customisation and combat systems that feed seamlessly into one another, to the completely optional collectible card game that I quickly became obsessed with, this is unexpectedly a much broader, deeper and more open game than its predecessor. An astonishing RPG that more than stands on its own merits, and even overshadows part one for ambition and creativity, it’s a remarkable achievement. Star Wars Outlaws PC, PS5, Xbox A streamlined and multi-planet take on Ubisoft’s familiar open-world action, paired with an original-trilogy-era Star Wars tale that follows an up-and-coming scoundrel rather than a Jedi or Imperial, Outlaws has everything a long-suffering franchise fan could hope for in a sandbox scum and villainy game. The overarching story is a bit of a letdown, but the main appeal here is simply being able to exist in this rich and incredibly well-realised universe, being a dirtbag and pulling off heists. Fans of Monty Python or The Mighty Boosh will find a lot to love exploring Barnsworth. Thank Goodness You’re Here PC, PS5, Switch, Xbox A cartoony and hilariously vulgar adventure set in a small northern England town, this is a point-and-punch exploration game that’s fondly reminiscent of classic daft British sketch comedy, with heaps of funny visuals and sound effects plus the voice talents of Matt Berry and others. Mechanically it couldn’t be simpler, but the writing and timing are masterful. From an unexpected exposed penis in a seagull-gathering side-mission to a prolonged sequence combining fish and cigarettes, it’s crassly artful and unforgettable. The Legend of Zelda: Echoes of Wisdom Switch Despite her name being in the titles, Princess Zelda has had few starring roles in Nintendo’s beloved adventure epics. This game marks a change in that regard, and introduces a brilliant new approach to items and combat where Zelda can copy and paste objects and enemies to fight and solve puzzles, but it’s otherwise business as usual for the series; this is a beautiful, joyful and surprising fantasy world to explore, with just the right mix of nostalgia and innovation. Eventually you’ll be filling out pages of details before you can even grasp the nature of the crime you’re supposed to be solving. And you’ll be loving it. The Rise of the Golden Idol Netflix, PC, PS5, Switch, Xbox The first Golden Idol was a wonderfully epic tale of paranormal serial murder, and Rise is even better. Set 200 years later, you’re tasked with solving 20 crimes, each painted as a beautifully grotesque painted moment. You analyse the scene to collect clues, words and names, then use those to fill in the blanks and uncover the truth. It’s like a multidimensional murder sudoku, which only gets more complex and tells a compelling alternate history detective story. Dragon Age: The Veilguard PC, PS5, Xbox Bioware is responsible for some of the greatest role-playing games ever, but this is their best in more than a decade. The narrative and fantasy settings are incredible, and the action-focused combat feels great, but the true strength is in the constant choice-making that affects your friendships in real and unexpected ways. Early on, the game makes you choose between two companions, the consequence of which leaves one with permanent visible bruises and scars for the rest of the game. This is Dragon Age telling you how it’s going to be. Unicorn Overlord has the familiar Vanillaware look, but it may be the studio’s deepest game yet. Unicorn Overlord PS5, Switch, Xbox Vanillaware has spent two decades crafting interesting and complex games with astounding hand-drawn art. The studio has a cult following but I think Unicorn Overlord might be its first true breakout hit. It’s a twist on the traditional turn-based tactical RPG, where instead of just skirmishing you define the parameters of each unit’s actions and priorities ahead of time, and then watch as they play out in battle. And, of course, it’s gorgeous. When asked whether there was an appetite among the commissioners to increase grant funding, Hamilton County Commissioner Denise Driehaus said she’d like to see an increase from what’s proposed in this year’s budget. “I’ve asked the administration to consider bringing that line item back to where it was last year,” she said, noting the 2024 budget level of funding was $1.25 million dollars. “These are big economic drivers, and the whole idea is to help expand these events to bring in even more revenue into the county and the city coffers,” Driehaus said. The commissioner suggested the funding could come out of the reserve. She said the county has a 17.1% reserve right now when the standard is generally 15%. “So we’ve got a little bit of flexibility there,” she said. The funding source for the large events grant is separate from the money being offered to lure major names. “The Recommended Budget allows for ... the use of one-time resources to enable the County to play a role in catalytic community and economic development efforts being proposed,” the budget states. $5 million has been allocated to develop and prepare a site within the county for the construction of a new National Women’s Soccer League franchise. $2 million has been allocated for grant funding to assist in securing the Sundance Film Festival to Hamilton County. Those line items come from interest earrings, Driehaus said. “We are not going to have the same level of interest earnings in the future, and so this is one-time money," she said. "But we feel like the investment here for those two categories is important.” The budget will be finalized and voted on later this month.

Hollman then caught on with the Texans for 2023 and appeared in all of their games. Houston cut him loose in March and he signed with the Ravens. Baltimore cut him coming out of the preseason and he re-signed to the practice squad, but Houston signed him back to their active roster in October. In 2024, Hollman appeared in three games for the Ravens and seven games for the Texans, recording 13 total tackles and two pass deflections. Yeast, 25, was a seventh-round pick by the Rams out of Kansas State back in the 2022 draft. He had played at Louisville before transferring to Kansas State and being named first-team All-Big 12. I consoled myself that much of that information also resided in other specified folders, but it still bothered me to no end that a foolish mistake had wiped them all out. The CFL club’s general manager told reporters at his year-end availability Tuesday that reaching a fifth straight championship game by overcoming lots of injuries was a big accomplishment. Even before Winnipeg’s recent 41-24 Grey Cup loss to the Toronto Argonauts, Walters said he was looking forward to next season. “I was excited for next year based on what I'm looking at, compared to years past, where we've got more young guys that have contributed that are under contract," he said. "We've got more young players in the building. So, the idea of, ‘This is the end of the road. The team is in a free-for-all downward,’ I don’t think is accurate. "We have a good group of guys and we were in a one-point (Grey Cup) game with 10 minutes left ... before things went downhill.” The Blue Bombers started the season 0-4, moved to 2-6 and finished 11-7 to claim the West Division title. Star receiver Dalton Schoen, veteran linebacker Adam Bighill and backup quarterback Chris Streveler all suffered season-ending injuries and are pending free agents. Negotiating with the team’s 27 unsigned players could be impacted by moves across the league among coaches, personnel staff and players such as quarterbacks, Walters said. Bharadwaj took to X and attacked the BJP, alleging that the attacker was connected with the saffron party. Attack On Arvind Kejriwal: Reacting on the attack on Aam Aadmi Party (AAP) convener and former Delhi Chief Minister Arvind Kejriwal, Delhi minister Saurabh Bharadwaj on Saturday alleged that the man held for attacking wanted to set him afire after throwing spirit on him during his Padyatra campaign. Bharadwaj took to social media platform X and attacked the Bharatiya Janata Party (BJP), alleging that the attacker was connected with the saffron party. The incident took place on Saturday evening when Kejriwal was greeting people standing behind a cordon when the man approached him and splashed some liquid on him. Following the incident, the security personnel swiftly overpowered him. The AAP chief and the security personnel accompanying him were later seen wiping their faces. "A man threw a spirit on him (Kejriwal). We could smell it. And there was an attempt to burn him (Kejriwal) alive,” Bharadwaj said. Speaking at a press conference, he claimed, "The man was carrying spirit in one hand and a matchbox in the other. He threw the spirit, which fell on Kejriwal and me, but he could not start the fire. Our alert volunteers and the public caught him." The attacker was beaten up by people present there before he was taken away by the police from the spot. The Delhi Minister lashed out at the BJP and alleged that the attacker is a registered member of the saffron party and pointed to his social media profile, which, he said, contained multiple photos with senior saffron party leaders, including Prime Minister Narendra Modi, Home Minister Amit Shah, and Uttar Pradesh Chief Minister Yogi Adityanath. The profile also displayed a BJP membership card, confirming the attacker's ties to the party, he said. Reacting to the allegations levelled by Bharadwaj, the BJP has strongly refuted the charges, with its Delhi unit president Virendra Sachdeva claiming the incident of throwing "water" on Kejriwal was an old tactic of the AAP. "Delhiites are asking why such incidents happen with him only," he said. While speaking at the press conference, Bharadwaj commented on the law-and-order situation in the national capital and slammed the BJP for a rise in violence. The Delhi Police comes under the purview of the Union Home Ministry. "Under the BJP's watch, criminals have become emboldened. From daylight shootings in upscale areas like Greater Kailash to the murder of a gym owner, the BJP has failed to protect the citizens of Delhi," he said. Italy is reportedly in talks with India to expand cooperation on port infrastructure, including ship and yacht manufacturing sectors. The discussion encompasses broader areas of blue economy and space exploration, Bloomberg News reported on Saturday, citing Italian Industry Minister Adolfo Urso. India and Italy share cultural and trade ties dating back centuries, the report cited Mr Urso, who is also Minister of Made in Italy, as saying. On Monday, Chancellor Kathaleen St. Jude McCormick to reverse a ruling she announced in January that had thrown out the compensation plan. The judge ruled then that Musk effectively controlled Tesla’s board and had engineered the outsize pay package during . Lawyers for a Tesla shareholder who sued to block the pay package contended that shareholders who had voted for the 10-year plan in 2018 had been given misleading and incomplete information. In their defense, Tesla’s board members asserted that the shareholders who ratified the pay plan a second time in June had done so after receiving full disclosures, thereby curing all the problems the judge had cited in her January ruling. As a result, they argued, Musk deserved the pay package for having raised Tesla’s market value by billions of dollars. McCormick rejected that argument. In her 103-page opinion, she ruled that under Delaware law, Tesla’s lawyers had no grounds to reverse her January ruling “based on evidence they created after trial.” What will Musk and Tesla do now? On Monday night, Tesla posted on X, the social media platform owned by Musk, that the company will appeal. The appeal would be filed with the Delaware Supreme Court, the only state appellate court Tesla can pursue. Experts say a ruling would likely come in less than a year. “The ruling, if not overturned, means that judges and plaintiffs’ lawyers run Delaware companies rather than their rightful owners — the shareholders,” Tesla argued. Later, on X, Musk unleashed a blistering attack on the judge, asserting that McCormick is “a radical far left activist cosplaying as a judge.” What do experts say about the case? Legal authorities generally suggest that McCormick’s ruling was sound and followed the law. Charles Elson, founding director of the Weinberg Center for Corporate Governance at the University of Delaware, said that in his view, McCormick was right to rule that after Tesla lost its case in the original trial, it created improper new evidence by asking shareholders to ratify the pay package a second time. Had she allowed such a claim, he said, it would cause a major shift in Delaware’s laws against conflicts of interest given the unusually close relationship between Musk and Tesla’s board. “Delaware protects investors — that’s what she did,” said Elson, who has followed the court for more than three decades. “Just because you’re a ‘superstar CEO’ doesn’t put you in a separate category.” Elson said he thinks investors would be reluctant to put money into Delaware companies if there were exceptions to the law for “special people.” What will the Delaware Supreme Court do? Elson said that in his opinion, the court is likely to uphold McCormick’s ruling. Can Tesla appeal to federal courts? Experts say no. Rulings on state laws are normally left to state courts. Brian Dunn, program director for the Institute of Compensation Studies at Cornell University, said it’s been his experience that Tesla has no choice but to stay in the Delaware courts for this compensation package. Tesla has moved its legal headquarters to Texas. Does that matter? The company could try to reconstitute the pay package and seek approval in Texas, where it may expect more friendlier judges. But Dunn, who has spent 40 years as an executive compensation consultant, said it’s likely that some other shareholder would challenge the award in Texas because it’s excessive compared with other CEOs’ pay plans. “If they just want to turn around and deliver him $56 billion, I can’t believe somebody wouldn’t want to litigate it,” Dunn said. “It’s an unconscionable amount of money.” Would a new pay package be even larger? Almost certainly. Tesla stock is trading at 15 times the exercise price of stock options in the current package in Delaware, Morgan Stanley analyst Adam Jonas wrote in a note to investors. Tesla’s share price has doubled in the past six months, Jonas wrote. At Monday’s closing stock price, the Musk package is now worth $101.4 billion, according to Equilar, an executive data firm. And Musk has asked for a subsequent pay package that would give him 25% of Tesla’s voting shares. Although he was with Time Warner through its difficulties with AOL, he earned respect for the company and rebuilt its relations with Wall Street. He streamlined Time Warner’s structure, pared debt and sold Warner Music Group and a book publishing division. He also fended off a challenge from activist investor Carl Icahn in 2006 to break up the company and helped Time Warner reach settlements with investors and regulators over questionable accounting practices at AOL. Parsons joined Time Warner as president in 1995 after serving as chairman and chief executive of Dime Bancorp Inc., one of the largest U.S. thrift institutions. In 2001, after AOL used its fortunes as the leading provider of Internet access in the U.S. to buy Time Warner for $106 billion in stock, Parsons became co-chief operating officer with AOL executive Robert Pittman. In that role, he was in charge of the company’s content businesses, including movie studios and recorded music. He became CEO in 2002 with the retirement of Gerald Levin, one of the key architects of that merger. Parsons was named Time Warner chairman the following year, replacing AOL founder Steve Case, who had also championed the combination. The newly formed company’s Internet division quickly became a drag on Time Warner. The promised synergies between traditional and new media never materialized. AOL began seeing a reduction in subscribers in 2002 as Americans replaced dial-up connections with broadband from cable TV and phone companies. Parsons stepped down as CEO in 2007 and as chairman in 2008. A year later AOL split from Time Warner and began trading as a separate company, following years of struggles to reinvent itself as a business focused on advertising and content. Time Warner is now owned by AT&T Inc. A board member of Citigroup and its predecessor, Citibank, since 1996, Parsons was named chairman in 2009 at a time of turmoil for the financial institution. Citigroup had suffered five straight quarters of losses and received $45 billion in government aid. Its board had been criticized for allowing the bank to invest so heavily in the risky housing market. Citigroup returned to profit under Parsons, starting in 2010, and would not have a quarterly loss again until the fourth quarter of 2017. Parsons retired from that job in 2012. In 2014 he stepped in as interim CEO of the Clippers until Microsoft CEO Steve Ballmer took over later that year. Parsons, a Republican, previously worked as a lawyer for Nelson Rockefeller, a former Republican governor of New York, and in Gerald Ford’s White House. Those early stints gave him grounding in politics and negotiations. He also was an economic adviser on President Barack Obama’s transition team. Parsons, who loved jazz and co-owned a Harlem jazz club, also served as Chairman of the Apollo Theater and the Jazz Foundation of America. And he held positions on the boards of the Smithsonian National Museum of African American History and Culture, the American Museum of Natural History and the Museum of Modern Art in New York City. Parsons played basketball at the University of Hawaii at Manoa and received his law degree from Albany Law School in 1971. He is survived by his wife, Laura, and their family. ICTSI was the most actively traded stock in terms of value, with 3.5 million shares worth P1.37 billion being traded on Dec. 23 to 27. The port operator’s shares closed at P386 on Friday, down 1% or 4 centavos from a week earlier. “The Federal Reserve projected a significantly slower pace of rate cuts next year in response to rising inflation and robust economic growth,” Claire T. Alviar, assistant manager for Research and Online Engagement at Philstocks Financial, Inc., said in a Viber message. “This could negatively affect global economic growth, thereby impacting ICT’s operations.” “Moreover, many investors were cautious at the moment, waiting for the policies to be implemented by the new administration in the US,” she added. Aniceto K. Pangan, an equity trader at Diversified Securities, Inc., said the company was in a consolidation phase during the week. “This was driven by the uncertainties behind the new US President’s trading policy, which may affect trading globally, especially his protectionist stance policy,” he said in a Viber message. US President-elect Donald J. Trump has vowed to increase tariffs on Canada, Mexico and China unless they addressed illegal migration and drug trafficking.
